This End User License Agreement ("EULA") is a legal agreement between Cartanalytics, doing business as Omni Checkout ("Licensor," "we," "our," or "us"), and you ("Licensee," "you," or "your") for use of the Omni Checkout software, scripts, hosted applications, APIs, and related materials (collectively, the "Software").
By creating an account, installing a theme script, embedding our checkout or pixel, accessing the merchant dashboard, or otherwise using the Software, you agree to this EULA. If you do not agree, do not use the Software.
This EULA supplements the Terms of Service and Privacy Policy. If there is a conflict, the Terms of Service control except with respect to software licensing, which this EULA controls.

The Software is licensed, not sold. Card and wallet payment user interfaces may be rendered by third-party payment processors (including Whop and PayPal) inside embedded frames; those components are subject to the processor's terms.
Subject to your compliance with this EULA, the Terms of Service, and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:

If you use Omni Checkout to sell goods or services to consumers, you are responsible for:
The Software may incorporate open-source software and third-party services. Those components may be subject to separate licenses. Third-party payment, hosting, and analytics services are provided under their own terms. Your use of Whop, PayPal, Shopify, Cloudflare, or other integrated services remains subject to those providers' agreements.
We may update the Software at any time, including automatic updates to hosted pages, APIs, and scripts. We may add or remove features with reasonable notice where practicable. Continued use after an update constitutes acceptance of the updated Software.
We and our licensors retain all right, title, and interest in the Software, including all intellectual property rights. No rights are granted except as expressly set forth in this EULA.
The software is provided "as is" and "as available" without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free operation, or that the software will meet your requirements.
To the maximum extent permitted by law, our total liability arising out of or related to the software shall not exceed the greater of (a) fees paid by you to us in the twelve (12) months before the claim, or (b) one hundred U.S. dollars (USD $100). We are not liable for indirect, incidental, special, consequential, or punitive damages.
This EULA is effective until terminated. We may suspend or terminate your license if you breach this EULA or the Terms of Service. Upon termination, you must cease use of the Software and remove Omni Checkout scripts from your properties. Sections that by nature should survive will survive termination.
This EULA is governed by the laws of the State of Arizona, without regard to conflict-of-laws principles, consistent with the Terms of Service.
