End User License Agreement

1. Agreement

This End User License Agreement ("EULA") is a legal agreement between Cartanalytics, doing business as Omni Checkout ("Licensor," "we," "our," or "us"), and you ("Licensee," "you," or "your") for use of the Omni Checkout software, scripts, hosted applications, APIs, and related materials (collectively, the "Software").

By creating an account, installing a theme script, embedding our checkout or pixel, accessing the merchant dashboard, or otherwise using the Software, you agree to this EULA. If you do not agree, do not use the Software.

This EULA supplements the Terms of Service and Privacy Policy. If there is a conflict, the Terms of Service control except with respect to software licensing, which this EULA controls.

2. The Software

The Software includes, without limitation:

• Merchant dashboard and administrative interfaces for store onboarding, configuration, and verification.
• Hosted checkout pages served from Omni Checkout domains (e.g., checkout.omnicheckout.app and merchant-branded checkout hosts).
• Storefront scripts for Shopify and similar platforms, including cart handoff and checkout interception logic.
• First-party pixel and identity scripts for attribution, analytics, and event capture.
• REST and worker APIs for sessions, shipping rates, payment configuration, webhooks, and tenant management.
• Documentation, configuration templates, and integration guides we provide.

The Software is licensed, not sold. Card and wallet payment user interfaces may be rendered by third-party payment processors (including Whop and PayPal) inside embedded frames; those components are subject to the processor's terms.

3. License Grant

Subject to your compliance with this EULA, the Terms of Service, and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:

• Access and use the Software solely for your internal business operations or to operate your authorized online store(s).
• Install and execute Omni Checkout scripts on storefronts you own or control, in accordance with our installation documentation.
• Permit your authorized employees and contractors to use the Software on your behalf.

4. Restrictions

You may not, and may not permit any third party to:

• Copy, modify, adapt, translate, or create derivative works of the Software except as expressly permitted.
• Reverse engineer, decompile, disassemble, or attempt to derive source code from the Software, except where prohibited restrictions are unenforceable under applicable law.
• Rent, lease, lend, sell, sublicense, distribute, or make the Software available to third parties except as integrated into your authorized storefront checkout flow.
• Remove, obscure, or alter proprietary notices in the Software.
• Use the Software to build a competing checkout or payment platform, or to scrape, harvest, or exfiltrate data beyond the scope of your agreement.
• Circumvent technical limits, security controls, rate limits, or access restrictions.
• Use the Software in violation of applicable law, card-network rules, or third-party platform terms (including Shopify's terms).

5. Merchant Responsibilities

If you use Omni Checkout to sell goods or services to consumers, you are responsible for:

• Your product listings, pricing, taxes, shipping, and fulfillment.
• Posting accurate refund, privacy, and terms policies on your storefront and checkout.
• Obtaining lawful consent for marketing, cookies, and data collection required in your jurisdictions.
• Maintaining valid credentials for connected platforms (e.g., Shopify admin tokens) and payment accounts.

6. Open Source and Third-Party Components

The Software may incorporate open-source software and third-party services. Those components may be subject to separate licenses. Third-party payment, hosting, and analytics services are provided under their own terms. Your use of Whop, PayPal, Shopify, Cloudflare, or other integrated services remains subject to those providers' agreements.

7. Updates and Changes

We may update the Software at any time, including automatic updates to hosted pages, APIs, and scripts. We may add or remove features with reasonable notice where practicable. Continued use after an update constitutes acceptance of the updated Software.

8. Ownership

We and our licensors retain all right, title, and interest in the Software, including all intellectual property rights. No rights are granted except as expressly set forth in this EULA.

9. Disclaimer of Warranties

The software is provided "as is" and "as available" without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free operation, or that the software will meet your requirements.

10. Limitation of Liability

To the maximum extent permitted by law, our total liability arising out of or related to the software shall not exceed the greater of (a) fees paid by you to us in the twelve (12) months before the claim, or (b) one hundred U.S. dollars (USD $100). We are not liable for indirect, incidental, special, consequential, or punitive damages.

11. Term and Termination

This EULA is effective until terminated. We may suspend or terminate your license if you breach this EULA or the Terms of Service. Upon termination, you must cease use of the Software and remove Omni Checkout scripts from your properties. Sections that by nature should survive will survive termination.

12. Governing Law

This EULA is governed by the laws of the State of Arizona, without regard to conflict-of-laws principles, consistent with the Terms of Service.
